Terms of service
Version 2026-09-29, effective 2026-09-29
1. Who this agreement is between
This agreement is between you — the customer named on the workspace, acting for the business you registered ("you", "your") — and the company that operates ZenOS, whose registered details are published on our Legal notice page ("we", "us", "our"). By creating a workspace, accepting a checkout quote, or using the product, you agree to this agreement, our acceptable use policy, and — for any personal data you put into the product — our data processing agreement. If you are accepting on behalf of a company, you confirm you have the authority to do so.
ZenOS is offered only to businesses and other organisations acting in the course of their trade, business, craft or profession ("business customers"). By creating a workspace you confirm that you are acting for a business and not as a consumer under the Slovenian Consumer Protection Act (Zakon o varstvu potrošnikov) or an equivalent law elsewhere. We do not contract with consumers, and we may close a workspace created in breach of this clause.
2. What you are signing up for
You are buying access to a workspace where AI agents run against rules, tools and spending limits that you set. An agent never carries out an action that changes the outside world by itself — it always writes a proposal first, and a fixed set of checks, a person, or a policy you set decides what happens next. That guarantee is the core of what this agreement covers, and nothing in this agreement, in any plan, or in any future feature reduces it: no paid tier and no autonomy setting ever lets an agent bypass the approval step for an action this product treats as needing one.
3. What we can and cannot promise your agents will do
The availability of agent capabilities, action types and connections is shown on the pricing and readiness page, read live from the same records the product checks before letting anything run. We do not promise a capability shown as not yet open will become available by any particular date. Some kinds of action — issuing an invoice, sending a first-contact message to someone who has not contacted you, publishing to a public account — always require a person to decide, permanently, regardless of your plan or how long an agent has been in use.
4. Billing, in plain words
Paid plans are not yet available to buy online. They cannot be bought until the operating company's registered details are published on our Legal notice page.
Fees are billed in advance for the period they cover and, except as this agreement or the law requires, are non-refundable.
Renewal and cancelling. Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time in the billing area of the dashboard. Cancellation takes effect at the end of the period you have already paid for, and we do not refund fees for a period that has already begun. Until the billing area has its own cancel control, or whenever you cannot use it, cancel through our contact form: the day we receive your request counts as the day you cancelled, and it takes effect at the end of the period you have already paid for.
Price changes. We may change our list prices with at least 30 days' notice to the workspace owner before the change applies to your next renewal. A change never applies retroactively to a period you have already paid for. If you do not accept a change, you may cancel before it takes effect.
VAT. All prices exclude VAT. When you are charged, VAT is added at the rate for your billing country. Where you give us a valid VAT identification number for a business supply to another EU country, the reverse charge applies: we do not charge VAT, and you account for it yourself in your own VAT return.
5. Your responsibilities
You are responsible for the accuracy of what you upload, for keeping your account credentials secure, for the actions your own team members and any policy they configure take inside the product, and for using the product in line with our acceptable use policy. You are responsible for having a lawful basis to process any personal data — including a third party's — that you choose to put into the product.
6. Intellectual property
We own the product, its software, and everything we build to operate it. You own your own data — everything you upload, every instruction you write, and every output your agents produce from it. We do not use your data to train any model. We send it to the companies that run the models only to produce what you asked for; what each one's own terms say about training on and keeping that data, and whether our written agreement with it is signed yet, is shown for each company on our Sub-processors page. We grant you a non-exclusive, non-transferable right to use the product for your own business during your subscription; you grant us only the rights we need to store, process and display your data in order to provide the service to you.
7. Companies that process your data for us
The companies that process data on our behalf (sub-processors), what each does and where, are listed on our Sub-processors page. We publish any addition or replacement there and tell the workspace owner in the product at least 30 days before it takes effect. If you object on reasonable data-protection grounds within that period, you may end the affected part of the service without penalty.
8. Disclaimer of warranties
Except as expressly stated in this agreement, the product is provided "as is". We do not warrant that it will be uninterrupted, error-free, or that any particular agent output will be accurate or fit for a particular purpose — an agent's proposal is a draft for a human decision, not a guaranteed result, and you remain responsible for the decisions your own team makes about it.
9. Limitation of liability
To the fullest extent the law allows: neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits or lost data, arising out of this agreement, even if advised of the possibility. Each party's total liability arising out of this agreement is capped at the fees you paid us in the twelve months before the event giving rise to the claim, or €100 if that is more — so a workspace on the free plan is never left with a cap of nothing. This cap does not apply to either party's breach of confidentiality, to our data processing agreement obligations, or to a party's wilful misconduct.
Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence, or for any liability under data protection law that cannot be limited by law. The cap above does not apply to those liabilities.
10. Indemnification
You agree to indemnify us against third-party claims arising from data you uploaded without the right to do so, or from your own breach of the acceptable use policy. We agree to indemnify you against third-party claims that the product, as we provide it, infringes their intellectual property rights.
11. Term, suspension and termination
This agreement runs for as long as your subscription is active. Either party may terminate for the other's uncured material breach, on written notice. We may suspend or terminate a workspace immediately, without prior notice, for a breach of the acceptable use policy that we reasonably believe creates legal or security risk. On termination, your right to use the product ends; your data is retained and then deleted on the schedule set out in the data processing agreement, unless the law requires otherwise or you have asked for an earlier export.
12. Closing your workspace
To close your workspace or ask for an export, use our contact form. When a workspace is closed, an export of its data is produced as part of offboarding, and we produce one on your written request. Restoring an export into a new workspace is handled with you on request rather than through a self-service tool.
13. Changes to these terms
We may update this agreement from time to time. We will tell you before a material change takes effect, and continued use of the product after that date means you accept the updated terms. If you do not accept a material change, you may cancel before it takes effect.
14. Governing law and disputes
The law of the Republic of Slovenia applies, and the courts of Ljubljana have jurisdiction, unless mandatory law says otherwise.
Before either party starts formal proceedings, the parties will try in good faith to resolve the dispute through a senior representative from each side within thirty days of a written notice describing it.
15. Force majeure
Neither party is liable for a delay or failure to perform caused by something reasonably outside its control — including a failure of a third-party model or infrastructure provider we depend on to run the product — provided the affected party gives prompt notice and uses reasonable efforts to resume performance.
16. General
If any provision of this agreement is found unenforceable, the rest continues in effect. A party's failure to enforce a provision is not a waiver of it. This agreement, together with the acceptable use policy and the data processing agreement, is the entire agreement between us about the product and supersedes any earlier discussion about it.
